♦ Represent a real estate developer and an upstream company by drafting agreements with individuals, and various federal, state, and local governmental and private entities to facilitate the development of over 800 acres that included moving pipelines, salter water disposal wells, metering and compressor stations, flare stacks, and other upstream and midstream operational appurtenances.

Led the two-person land and legal departments with Company operating over 500 conventional wells. This included: the train and technical development of myself and staff; the development of practices processes and procedures; and the testing, quality control, and integration of all of the proceeding. I was a proven leader who interacted and coordinated with other departments in the upstream organization as well as outside parties using strong interpersonal skills, all while being aligned with company goals and objectives.
♦ Drafted all agreements from LOI to purchase and sale agreement in 18 proposed acquisitions and 4 completed divestitures using technical and legal writing skills.
♦ Analyzed, negotiated and prepared and/or reviewed agreements including leases, farmouts, term assignment, and operating agreements required for drilling wells to evaluate and/or develop company acreage including all compliance required for agreements as well as obtain the necessary title examination, title curative and issue final title approval and release of wells for drilling. Data analyzed included oil and gas lease and other contracts, division orders, land operations, and other varied sources and systems.
♦ Managed all contract land efforts whether title, due diligence, or lease acquisition.
♦ Initiated new land records management program, including division/change order approval, archiving divestitures, and clarification of division of process between land administration and accounting departments.
♦ Drafted a proposed agreement which would have been the largest deal to date with a particular African country.
♦ Part of the Company’s deal team for Mexico’s first onshore bid round.
♦ Managed outside counsel for 5 separate cases ranging from shareholder derivative suits, contract and land disputes with defaulting partners, ineffective and fraudulent vendor disputes, and employment contract disputes.
♦ Negotiated a mediated case over 12 hours and 17 rounds leading the other party to accept 1/20th of the realistic settlement amount, and 1/392nd of the stated claim.
♦ Drafted entity change, creation, and/or merger documentation necessary to simplify corporate structure. Helped manage corporate formalities of affiliated entities, including changes in officers, directors and shareholders.
♦ Researched and advised of the implications of the entity change on Company’s operatorship with each regulatory agency with jurisdiction over the Company’s assets.

Managed all land department functions. Managed and help manage due diligence projects in support of acquisition, financing, and initial public offering transactions in both the upstream and midstream sectors. Direct project management of due diligence teams of up to 50 landmen in transactions totaling $2.4 billion. Helped manage due diligence teams in transactions totaling $7.6 billion. These large projects required coordination of land data from Seller and Buyer and within the organization utilizing various computer applications. In addition, I served as the primary contact with the client and drafted most of the due diligence reports. This required a quick understanding of the issues and defects found and the ability to communicate the same to parties outside of the land and legal discipline.
♦ Due diligence process included verification of working interest and net revenue interest as stated in purchase and sale agreement by comparison to: title opinions, lease and well files, joint interest billing and revenue distribution records, record title, and regulatory filings. In addition, burdensome lease provisions, and notice and consent requirements were reported to client.
♦ Setup and managed Piceance Basin land department for midstream client whose gathering system totaled 265 miles of pipe. This included initial drafting of all land department forms and contracts.
♦ Company’s primary representative in marketing clients’ prospects and producing acreage.

While reviewing all drillsite title projects, document by document, applicant was able to supervise, train new landmen, and report to client for a fifty-person title project.
♦ Reviewed and drafted oil, gas and mineral leases and amendments, surface use agreements, subordination agreements, and drillsite spacing waivers.
♦ Examined documents recorded with county clerks, district clerks, and the Texas General Land Office, for preparation of runsheets, mineral ownership reports, and limited title certificates. Geographically related tracts using deed plotter.
♦ Coordinated with GIS department in attributing ownership reports, runsheets and oil, gas and mineral leases to tracts.
